Terms of credit. Invoices are due in full on the terms approved by Rock Bridge Group LLC ("Seller"). Past-due balances accrue a finance charge of 1.5% per month (18% per year) or the maximum allowed by law, whichever is less. Seller may suspend shipments, reduce the limit or revoke terms at any time. Applicant agrees to pay all reasonable costs of collection, including attorney fees. Title to goods passes on delivery; risk of loss passes to carrier at Seller's dock. Claims for shortage or damage must be made within 10 days of receipt. Returns require authorization and may carry a restocking charge.

Authorization. Applicant certifies the information given is true and complete and authorizes Seller to verify it, to obtain business credit reports, and to contact the bank and trade references listed. Applicant agrees to notify Seller within 30 days of any change in ownership, legal name or financial condition.

Personal guarantee. Where elected below, in consideration of credit extended to Applicant, the undersigned personally and unconditionally guarantees payment of all amounts now or hereafter owed by Applicant to Seller, waives notice of acceptance, presentment and default, and agrees this guarantee continues until revoked in writing and Seller has acknowledged receipt.

Governing law. This agreement is governed by the laws of the State of California. Venue for any dispute is Ventura County, California.
